How three engagements unfolded
Local tech startup, 3 co-founders
The situation
Three co-founders with unequal equity stakes and different levels of day-to-day involvement. The lead founder had previously used a standard online incorporation service and found that the generic constitution left key questions unanswered when a disagreement arose.
What we did
Reviewed the ownership arrangement and designed a constitution with clear director authority limits and reserved matter thresholds requiring shareholder approval. Drafted a shareholder agreement covering drag-along, tag-along, and founder vesting provisions. Managed SSM filing, LHDN and statutory registrations.
The outcome
Company formed and operational within four weeks. The founders reference the shareholder agreement regularly in board decisions and report that it has prevented several potential disputes from escalating.
German healthcare company entering Malaysia
The situation
A German medical device distributor wanting to establish a local entity for their Malaysia and wider ASEAN distribution operations. They had been advised by a general corporate firm that full foreign ownership would not be possible — this turned out to be incorrect for their specific activity classification.
What we did
Reviewed the client's activity description against MIDA's current sectoral equity conditions and confirmed that their distribution activity qualified for full foreign ownership. Formed the Sdn Bhd at 100% foreign ownership, managed the registration process, and coordinated employment pass applications for two German-based founding personnel.
The outcome
Entity formed with correct ownership structure. Employment passes approved within standard processing time. Client avoided an unnecessary local partner arrangement that would have complicated their group structure.
Architecture practice — LLP to Sdn Bhd migration
The situation
A two-partner architecture practice that had operated as an LLP for four years and was beginning to work with institutional clients who required a corporate entity counterparty. The partners wanted to migrate to an Sdn Bhd without losing the working relationship they had established under the LLP.
What we did
Advised on the migration approach — the LLP was retained as a legacy vehicle while the new Sdn Bhd was formed for institutional engagements. Drafted the company constitution and shareholder agreement to mirror the partners' existing LLP arrangement. Managed LHDN and statutory registrations for the new entity.
The outcome
Both entities now operating in parallel for their respective client segments. The partners describe the transition as simpler than expected because the structure had been clearly mapped before the first filing.
