In many sectors, full foreign ownership of an Sdn Bhd is possible. However, certain regulated sectors — including financial services, education, healthcare, and construction — carry equity conditions that may require a local partner or MIDA approval. Under the Companies Act 2016, every Sdn Bhd must appoint at least one licensed company secretary within 30 days of incorporation. The secretary is responsible for maintaining the statutory registers, filing annual returns, and ensuring the company's records remain current with SSM. The engagement fee covers our professional service. SSM government filing fees are separate and billed at cost. The scope includes structure advisory, constitution drafting, shareholder agreement preparation (where applicable), SSM filing management, LHDN and statutory registrations, and first-year secretarial arrangement. We provide a written scope before the engagement begins so you know exactly what is included.

For most incorporation work, physical presence is not required — documents can be executed remotely with appropriate authorisation. Certain bank account onboarding procedures may require an in-person visit or video verification depending on the bank. We advise on this during the planning stage of your engagement.
